LRKN CUSTOM MERCH PARTNER TERMS & CONDITIONS

These Terms & Conditions apply to participation in the LRKN Custom Merch Partner Program operated by LRKN Lifestyle / LRKN4x4andcamping.com (“LRKN”, “we”, “us” or “our”).

By purchasing a Merch Launch Package, registering as a Merch Partner, submitting the LRKN Merch Partner Collection Builder or approving a Custom Merch collection for launch, you agree to these Terms & Conditions.

1. ELIGIBILITY & REGISTRATION

To participate in the LRKN Custom Merch Partner Program, you must be at least 18 years of age and have the authority to enter into this agreement.

If you are registering on behalf of a business, brand, club, group, organisation or other entity, you confirm that you have authority to act on its behalf.

Your Merch Partner registration details must correspond with the person or business that purchased the applicable Merch Launch Package unless otherwise approved by LRKN.

LRKN may request information reasonably required to verify your identity, order or authority to represent a brand before approving your Merch Partner account or collection.

Participation in the program is subject to approval by LRKN.

2. WHAT YOUR MERCH LAUNCH PACKAGE INCLUDES

Your Merch Launch Package provides the initial setup required to create and launch your Custom Merch collection through LRKN.

Your initial setup includes:

Up to 3 initial launch products from the available Custom Merch range
Product mockups using your supplied branding, artwork and instructions
Print and artwork preparation for supplied artwork
Up to 2 reasonable revision rounds during initial setup
A templated custom garment tag using your branding
A templated custom packaging sticker
A templated custom insert card
A dedicated LRKN-hosted collection
Product listings, available variants and approved retail pricing
Production setup for your approved products
Merch Partner sales and earnings tracking setup
Review and approval of your initial collection before launch

The Launch Package does not include unlimited graphic design, complete brand identity development, unlimited revisions, custom photography, bespoke packaging development or additional products beyond the included initial products unless otherwise agreed.

Additional design work, products, revisions or services may incur additional charges.

There is no requirement to purchase bulk finished stock upfront as part of the Custom Merch Partner Program.

3. SETUP PAYMENT OPTIONS

LRKN currently offers two payment options for the initial Merch Launch Package.

PAY IN FULL — $249

You pay $249 upfront for your initial collection setup.

There is no outstanding setup balance under this option.

Eligible Partner Earnings begin accruing as payable Partner Earnings from your first eligible sale, subject to the payout and adjustment provisions contained in these Terms.

LOW-UPFRONT LAUNCH — $100 UPFRONT

You pay $100 upfront to begin your collection setup.

The remaining $199 setup balance is recovered from eligible Partner Earnings generated by your Custom Merch collection.

The total setup cost under the Low-Upfront option is therefore $299.

The remaining $199 is not subsequently charged to your card or automatically collected through Shopify as an instalment payment.

Instead, eligible Partner Earnings that would otherwise become payable to you are applied against the outstanding setup balance until it reaches $0.

If an eligible sale generates more Partner Earnings than the remaining setup balance, LRKN will retain only the amount required to clear the balance. Any remaining Partner Earnings from that sale become payable to you subject to the normal payout provisions.

At the current $15 Base Partner Earning, where products are sold at their Minimum Retail Price, the remaining $199 balance is cleared on the 14th eligible sale.

This example is illustrative only. If a product generates additional Partner Earnings because it sells above its Minimum Retail Price, the setup balance may be recovered sooner.

If your collection does not generate enough eligible Partner Earnings to recover the full $199 balance, LRKN will not separately invoice or charge you for the remaining shortfall, provided your account remains compliant with these Terms.

The initial $100 payment is non-refundable once setup work has commenced, subject to your rights under Australian Consumer Law.

4. ARTWORK, LOGOS & INTELLECTUAL PROPERTY

You are responsible for ensuring that you own, control or have permission to use any logos, artwork, photographs, trademarks, names, slogans, graphics or other material supplied to LRKN.

By supplying material to LRKN, you grant LRKN permission to use, reproduce, resize, adapt and prepare that material as reasonably required to create, produce, display, promote and fulfil your approved Custom Merch products and collection.

You must not provide material that infringes another person's copyright, trademark or other intellectual property rights.

LRKN may refuse artwork or content that we reasonably believe may infringe third-party rights, be unlawful or otherwise be unsuitable for production.

Unless otherwise agreed, ownership of your pre-existing branding and supplied artwork remains with you.

5. PARTNER BRAND ASSETS & LRKN-CREATED COLLECTION MATERIALS

The Merch Partner retains ownership of their pre-existing logos, branding, artwork, photographs and other materials supplied to LRKN. Nothing in these Terms transfers ownership of those materials to LRKN.

Where a Merch Partner separately purchases a Logo Design service from LRKN, ownership of the final approved logo created specifically for the Partner will transfer to the Partner once the applicable Logo Design fee has been paid in full.

Unless otherwise agreed, this does not include ownership or transfer of LRKN templates, working files, design systems, fonts, stock assets or other third-party materials used in creating the final logo.

As part of establishing and operating a Custom Merch collection, LRKN may create or prepare materials including product mockups, product images, website and product copy, collection content, garment tag layouts, packaging layouts, insert layouts, print-production files, templates and other creative, production or ecommerce materials (“LRKN-Created Collection Materials”).

LRKN-Created Collection Materials are provided for use in connection with the Partner's LRKN-hosted Custom Merch collection and may not be copied, reproduced, supplied to another printer, manufacturer, fulfilment provider or retailer, transferred to another ecommerce store, or otherwise reused outside the LRKN Custom Merch Program without LRKN's prior written approval.

This restriction does not prevent the Partner from taking or using their own logo, branding, original artwork or other materials they supplied to LRKN.

If a Partner wishes to use any LRKN-Created Collection Materials after leaving the program or with another supplier, they may request written approval from LRKN.

LRKN may approve the use subject to any applicable artwork, design, production-file or release fee.

Unauthorised use of LRKN-Created Collection Materials may constitute a breach of these Terms and, depending on the material and circumstances, may also infringe applicable intellectual property rights.

6. PRODUCT MOCKUPS & APPROVAL

LRKN will provide product mockups or other suitable representations of your initial Custom Merch products for approval before launch.

Mockups are intended to provide a reasonable representation of the finished product. Minor differences may occur due to garment construction, print placement, manufacturing tolerances, screen display, colour reproduction and production methods.

You are responsible for checking spelling, artwork, branding, placement and other details before giving final approval.

Once you approve a design for production, LRKN is not responsible for errors that were visible in the approved design unless the final product materially differs from the approved production specification.

7. BRANDED PACKAGING

Where included in your Launch Package, LRKN will create templated branded elements such as garment tags, packaging stickers and insert cards using your supplied brand information.

These materials form part of the presentation of your Custom Merch range but do not make the fulfilment service exclusively white-label.

LRKN may include reasonable LRKN identification, operational information or promotional material within or alongside orders fulfilled through its platform.

8. MINIMUM RETAIL PRICES

Each Custom Merch product has a Minimum Retail Price determined by LRKN.

Minimum Retail Prices take into account costs associated with sourcing, production, printing, packaging, platform operation, order handling and fulfilment.

At the date of these Terms, the Minimum Retail Prices for the current initial launch products are:

Women's Mali Tee — $49.99
Men's Box Tee — $69.99
Custom Bikini — $74.99

You may request an approved retail price above the Minimum Retail Price.

A Custom Merch product must not be advertised or sold below its Minimum Retail Price without prior approval from LRKN.

9. PARTNER EARNINGS

For the current Custom Merch launch products, the Base Partner Earning is $15 per eligible product sale.

This currently applies to:

Women's Mali Tee
Men's Box Tee
Custom Bikini

The Base Partner Earning applies when an eligible product is sold at its Minimum Retail Price.

SALES ABOVE THE MINIMUM RETAIL PRICE

If your approved product is sold above its Minimum Retail Price, you receive:

$15 Base Partner Earning + 50% of the amount actually paid above the Minimum Retail Price.

For example:

Minimum Retail Price: $49.99

Actual eligible selling price: $59.99

Amount above Minimum Retail Price: $10.00

Your additional Partner Earnings: $5.00

Your total Partner Earnings for that eligible sale: $20.00

Partner Earnings apply only to eligible approved Custom Merch products associated with your collection.

Shipping charges are not included when calculating Partner Earnings.

10. DISCOUNTS & PROMOTIONS

Partner Earnings are calculated using the actual eligible product selling price after applicable product discounts.

The additional 50% Partner Earning only applies to the amount the customer actually pays above the applicable Minimum Retail Price.

For example:

Minimum Retail Price: $49.99

Normal selling price: $59.99

Discounted selling price actually paid: $54.99

Amount paid above Minimum Retail Price: $5.00

Partner Earnings:

$15 Base Partner Earning + $2.50 additional Partner Earnings = $17.50.

A discount cannot create additional 50/50 Partner Earnings where the final eligible selling price is at or below the applicable Minimum Retail Price.

Creator-specific promotions or discounts that would reduce a product below its Minimum Retail Price require prior approval from LRKN.

11. SALES TRACKING

LRKN will establish Partner Earnings tracking for your approved Custom Merch collection.

Eligible sales will be recorded through LRKN's nominated tracking system.

You will be provided access to a Partner Dashboard where available so you can view tracked sales and earnings.

You are not required to manually report normal tracked sales.

If you believe a sale has not been correctly recorded, you should contact LRKN with sufficient information for us to investigate.

Tracking may be subject to reasonable processing delays, order validation, refunds, cancellations and other adjustments.

12. PAYOUTS

Partner Earnings are processed weekly once your payable Partner Earnings balance reaches $50 or more.

Balances below $50 roll forward until the minimum payout threshold is reached.

The $50 amount is a minimum payout threshold, not a fixed payout amount.

For example, if your payable Partner Earnings balance is $56 when it becomes eligible for the next weekly payout, the payable amount is $56 rather than $50, subject to any applicable adjustments.

For Merch Partners who selected the Low-Upfront option, Partner Earnings applied toward the outstanding $199 setup balance are not payable to the Partner.

Once the setup balance has been cleared, subsequent eligible Partner Earnings — including any portion of the sale that exceeded the amount required to clear the balance — begin accumulating toward the $50 payout threshold.

At the standard $15 Base Partner Earning and assuming products sell at Minimum Retail Price:

Sales #1–13 generate $195 toward the outstanding setup balance.
On Sale #14, $4 clears the remaining setup balance and the remaining $11 becomes payable Partner Earnings.
Sale #15 increases payable Partner Earnings to $26.
Sale #16 increases payable Partner Earnings to $41.
Sale #17 increases payable Partner Earnings to $56.

The Partner therefore reaches the first $50+ payout threshold on Sale #17 under this example.

Additional Partner Earnings from products sold above Minimum Retail Price may cause the setup balance to be cleared or the payout threshold to be reached sooner.

Payment method and any information reasonably required to process payouts will be confirmed during onboarding.

13. REFUNDS, CANCELLATIONS & CHARGEBACKS

Partner Earnings are only payable on eligible completed sales.

No Partner Earnings are payable on orders that are cancelled, fully refunded, fraudulent or successfully charged back.

Where an order is partially refunded, Partner Earnings may be adjusted to reflect the final eligible product sale amount.

If Partner Earnings have already been credited or paid for an order that is subsequently refunded, reversed or successfully charged back, LRKN may deduct the applicable amount from future Partner Earnings.

Where Partner Earnings from an order have been applied toward a Low-Upfront setup balance and that order is subsequently reversed, LRKN may make a corresponding adjustment to the outstanding setup balance.

14. SHIPPING

Customer shipping charges are separate from Custom Merch Partner Earnings.

Shipping amounts paid by customers are used by LRKN toward the costs of fulfilment and delivery and are not included when calculating either the $15 Base Partner Earning or the additional 50% Partner Earning.

LRKN is responsible for arranging normal fulfilment and delivery of Custom Merch orders sold through the LRKN-hosted collection.

15. OTHER LRKN PRODUCTS & AFFILIATE EARNINGS

Custom Merch Partner Earnings apply to approved products within your Custom Merch collection.

If a customer purchases unrelated LRKN products in the same checkout, those products do not automatically generate Custom Merch Partner Earnings.

Where you separately participate in an LRKN affiliate arrangement, eligible unrelated LRKN purchases may generate affiliate earnings according to the separate Affiliate Program terms, rates and tracking requirements.

The Custom Merch Partner Program and any ordinary LRKN Affiliate Program are separate arrangements.

16. MERCH PARTNER RESPONSIBILITIES

You are responsible for:

Providing accurate brand and contact information
Supplying artwork you are legally entitled to use
Reviewing and approving product designs
Providing reasonable information required to establish your collection
Promoting your collection if you wish to generate sales
Ensuring claims you make about your products or LRKN are accurate
Complying with applicable laws and these Terms
Keeping your payment and contact information reasonably current

LRKN does not guarantee any minimum number of sales, revenue or Partner Earnings.

17. CUSTOMER ORDERS & CUSTOMER SERVICE

Products are sold to customers through the LRKN-hosted store.

LRKN manages the normal processing, production, packing and fulfilment of customer orders placed through your approved collection.

LRKN also manages order-related customer service associated with those purchases.

Merch Partners must not promise customers delivery dates, refunds, product variations, discounts or other terms that have not been approved by LRKN.

18. TAX & GST

You are responsible for determining and meeting your own tax, GST, reporting and other financial obligations associated with Partner Earnings you receive.

LRKN does not provide individual tax or accounting advice to Merch Partners.

Where required, LRKN may request reasonable tax, identity or payment information before processing Partner Earnings.

19. CHANGES TO PRICING & PARTNER EARNINGS

Minimum Retail Prices are based on the costs involved in sourcing, printing, producing, packing and fulfilling Custom Merch products.

If those costs materially change, LRKN may update a product's Minimum Retail Price, Base Partner Earning or other commercial terms of the program.

Where practical, affected active Merch Partners will be notified before changes are applied to their collection.

Changes will not retrospectively alter Partner Earnings already earned from eligible completed sales before the applicable change takes effect.

Nothing in this section allows LRKN to retrospectively alter the price or payment terms of a Merch Launch Package already purchased.

20. INACTIVE COLLECTIONS, LEAVING THE PROGRAM, SUSPENSION & TERMINATION

There is no requirement to purchase bulk stock simply because your collection remains live.

LRKN may archive a collection that has had no sales or meaningful activity for an extended period.

Where practical, LRKN will contact you before an inactive collection is archived.

CHOOSING TO LEAVE LRKN OR USE ANOTHER SUPPLIER

The Custom Merch Partner Program is not exclusive unless LRKN and the Merch Partner separately agree otherwise in writing.

You may choose to source, manufacture, print or sell your merchandise independently or through another supplier.

If you no longer wish to sell your Custom Merch products through LRKN, you may request that LRKN close or archive your collection.

Closing or archiving your collection does not entitle you to a refund of Launch Package or setup fees for services and work already supplied or commenced, subject to your rights under Australian Consumer Law.

Any customer orders placed through LRKN before your collection is closed will continue to be processed, produced, fulfilled and administered by LRKN under these Terms.

Any eligible Partner Earnings generated before closure remain subject to the normal payout, refund, cancellation, chargeback and adjustment provisions of these Terms.

If you selected the Low-Upfront option and leave the program before the remaining setup balance has been fully recovered, LRKN will not separately invoice or charge you for the outstanding balance, provided your account has otherwise remained compliant with these Terms.

Leaving the program or using another supplier does not give you permission to take or use LRKN-Created Collection Materials outside the LRKN Custom Merch Program.

Your rights to use your own logo, branding, original artwork and other materials supplied by you are unaffected.

Any use of LRKN-Created Collection Materials after leaving the program or with another supplier remains subject to Section 5 of these Terms and requires LRKN's prior written approval.

Once your LRKN collection has been closed, you must not represent or imply that LRKN continues to manufacture, print, fulfil, endorse or otherwise be associated with merchandise produced or sourced elsewhere.

SUSPENSION OR TERMINATION BY LRKN

LRKN may suspend or terminate a Merch Partner account or collection where there is suspected fraud, misuse of the program, intellectual property infringement, misleading conduct, material non-compliance with these Terms or conduct that may reasonably cause harm to LRKN, its customers or another party.

Where appropriate and reasonably practicable, LRKN may provide an opportunity to address a breach before terminating participation.

Ending participation does not remove rights or obligations that arose before the date participation ended.

Any eligible payable Partner Earnings remaining at closure remain subject to these Terms, including the minimum payout threshold and any applicable refund, chargeback or adjustment.

21. PRIVACY & INFORMATION

Information provided through your Merch Partner registration, Collection Builder, Shopify order and related communications may be used by LRKN for the purposes of administering the Custom Merch Partner Program.

This includes setting up and operating your collection, communicating with you, producing and fulfilling products, tracking sales, calculating and processing Partner Earnings and maintaining appropriate business records.

Information will otherwise be handled in accordance with LRKN's applicable privacy practices.

22. NO GUARANTEE OF SALES

Purchasing a Merch Launch Package does not guarantee that your collection will generate sales, recover a Low-Upfront setup balance or generate any particular level of Partner Earnings.

References to potential sales, earnings, payout thresholds or example sales numbers are illustrations of how the program operates, not promises or forecasts of results.

Actual results depend on factors including your audience, products, pricing, designs, promotion, customer demand, discounts, cancellations and refunds.

LRKN may provide your collection with visibility through its website and existing customer traffic, but this does not guarantee that visitors will view or purchase your products.

23. ACCEPTANCE OF THESE TERMS

You must review and accept these Terms before your Merch Partner account and Custom Merch collection are approved.

Purchasing a Merch Launch Package through Shopify confirms your purchase of the selected setup option.

Completing the LRKN Merch Partner Collection Builder and accepting the LRKN Custom Merch Partner Terms confirms your agreement to participate under these Terms.

These Terms do not retrospectively change the price or payment option of a Merch Launch Package already purchased.

If the program terms are materially updated in the future, existing Merch Partners will be notified where appropriate.

ACKNOWLEDGEMENT

By participating in the LRKN Custom Merch Partner Program, you acknowledge that you have read and agree to these Terms & Conditions and understand the applicable setup option, Minimum Retail Prices, Partner Earnings structure, payout requirements and responsibilities associated with your Custom Merch collection.
